1. Acceptance of these Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you", "user", "customer") and Sitekik Marketers ("Sitekik", "we", "us", "our"), the operator of Noem (the "Service", accessible at noem.llc).

By accessing, registering for, paying for, or using the Service, you confirm that you have read and understood these Terms, agree to be bound by them, and agree to be bound by the Noem Privacy Policy and Data Deletion Policy, which are incorporated by reference. If you do not agree, do not use the Service.

These Terms are an electronic record in terms of the Information Technology Act, 2000, and do not require any physical or digital signature.

2. Definitions

• "Account" — your user account on Noem, identified by your verified mobile phone number.
• "AI Output" — any text, diagnosis, verdict, brief, recommendation, score, or content generated by the Service using large language models.
• "Cashfree" — Cashfree Payments India Private Limited, our exclusive payment processor.
• "Meta" — Meta Platforms, Inc. and its affiliates, including Facebook and Instagram.
• "Meta Data" — data obtained from Meta's APIs on your authorisation.
• "Plan" — a paid tier of the Service: Trial, Basic, Pilot, or Studio.
• "Service" — the Noem website, web application, dashboard, WhatsApp delivery, in-product assistant ("Shasha"), and all related features.
• "User Data" — all data you provide to Noem, or that Noem collects from you or on your authorisation from Meta or Cashfree.

3. Eligibility

To use Noem you must be at least 18 years of age; have the legal capacity to enter into a binding contract; be a business owner, an authorised employee, agency, freelance marketer, or other individual with the lawful authority to manage the Meta ad account you intend to connect; not be barred from receiving the Service under any applicable law (including sanctions regimes); and comply with Meta's own Terms of Service and Advertising Policies. You represent and warrant the foregoing is true throughout your use.

4. The Service

Noem is an AI-assisted ad-diagnostics and ad-strategy platform. The Service connects to your Meta advertising account on your authorisation; analyses your ad performance using large language model providers; generates an account health verdict, a recoverable-spend estimate in INR, and ranked diagnoses ("charges"); delivers up to three WhatsApp briefs per day (07:00, 14:00, and 20:00 IST, subject to your Plan); provides an in-product chat assistant ("Shasha") grounded in your diagnosis and account context; and offers a free Strategy Maker tool (subject to availability).

The Service evolves continuously. We may add, modify, or discontinue features at our discretion.

5. Account creation

5.1 You create an Account by entering your mobile phone number, verifying via OTP, and completing payment for your chosen Plan. Payment serves as account activation. Your phone number is your account identifier.

5.2 You are responsible for providing accurate information, keeping your phone number active, maintaining the confidentiality of OTPs, and all activity that occurs under your Account.

5.3 You may not create an Account by impersonating another person, using a phone number you do not lawfully control, or providing false information.

5.4 You may not share your Account with others or use a single Account on behalf of multiple unrelated businesses, except as permitted by the Studio Plan (up to three ad accounts).

5.5 We may suspend or terminate Accounts that violate these Terms (Section 18).

6. Meta connection

6.1 To use most of Noem's features, you must connect a Meta ad account via Meta Login. You authorise Noem to receive: your basic Meta profile, read-only access to the ad accounts you select, and performance metrics, campaign structures, audiences, and creative assets needed for diagnosis.

6.2 You represent and warrant that you are an authorised user of the connected ad account; you have the right to share the connected ad account's data with Noem; and you will keep your Meta credentials secure.

6.3 You may disconnect your Meta account at any time, which will revoke Noem's access token within 7 days. Disconnection does not, by itself, delete your historical data; see the Data Deletion Policy.

6.4 We comply with Meta's Platform Terms and Developer Policies. If Meta requires us to discontinue any feature, we will do so without notice and without liability.

7. Plans and pricing

All amounts are in Indian Rupees (INR) and inclusive of any taxes we are required to collect at point of sale.

7.1 All Plans are prepaid one-time charges. No subscriptions, no auto-debit, no automatic renewals, no recurring charges. Your card is not stored on file for future automatic billing.

7.2 At the end of your Plan duration, the Service in respect of your Account will cease, unless you renew via a link sent to your WhatsApp or email.

7.3 We may change pricing for future Plans at any time. Such changes will not affect any Plan you have already paid for during its remaining duration.

7.4 We may offer promotional discounts, coupons, or trial offers from time to time, at our discretion.

8. Payments

8.1 All payments are processed through Cashfree. Sitekik Marketers does not collect, store, or process your card number, CVV, UPI PIN, net-banking credentials, or other payment-instrument data.

8.2 By completing a payment on the Cashfree checkout, you agree to Cashfree's own terms of service and privacy policy.

8.3 We accept payment via the methods enabled by Cashfree (credit cards, debit cards, UPI, net banking, wallets).

8.4 You authorise Cashfree to share with us only the transaction status, payment ID, order ID, amount, and contact details submitted at checkout.

8.5 If a payment fails, your Plan will not be activated.

8.6 If Cashfree initiates a chargeback or reversal, we may suspend or terminate your Account and any active Plan until resolved.

8.7 You are responsible for any bank or network fees imposed by your payment instrument issuer.

9. Refunds

9.1 Trial Plan (₹49) — carries a "no recoverable waste, money-back" guarantee. If, upon completion of the diagnosis, the Service identifies a recoverable-spend amount of ₹0 for the ad accounts you connected, you may request a refund of ₹49 within 7 days of the diagnosis. Refunds are processed via Cashfree to the original payment instrument and typically take 5–7 business days.

9.2 Basic, Pilot, and Studio Plans — paid-up-front, one-time, non-refundable, except where required by applicable law; we are unable to deliver the Service due to an extended outage attributable to us (more than 7 consecutive days within the Plan duration); or a duplicate/erroneous charge has occurred.

9.3 To request a refund, email shik@sitekik.co.in within 7 days of the event giving rise to the request, with your phone number and Cashfree payment ID. We respond within 7 business days.

9.4 Refunds are processed via Cashfree to the original payment instrument only.

9.5 We may deny refund requests we determine, acting reasonably, to be fraudulent or in bad faith.

10. Acceptable use

You agree that you will not: use the Service for any unlawful, fraudulent, or harmful purpose; connect a Meta ad account you do not lawfully control; reverse-engineer or decompile the Service; scrape, mirror, or copy any portion beyond your normal use; use automated systems without consent; probe or test vulnerabilities; interfere with operation; harass, defame, or harm any person; violate Meta's policies; resell or sublicense the Service or its outputs without our express written consent (except Studio Plan users in their own client deliverables); or use the Service for illegal or deceptive ads. Breach of this Section is a material breach of these Terms.

11. AI Output — disclaimer

11.1 The Service produces AI Output using large language models.

11.2 AI Output is advisory only. It is not financial, legal, accounting, tax, medical, or any other form of regulated advice. Decisions remain yours alone.

11.3 We make commercially reasonable efforts to ground AI Output in real data and real frameworks, but AI Output may contain inaccuracies, omissions, or errors. Large language models can produce confident-sounding but incorrect statements ("hallucinations"). You are responsible for verifying any AI Output before acting on it.

11.4 The recoverable-spend figures, account health grades, and forecasts are estimates, not guarantees. We do not promise any specific result.

11.5 Past performance, including past AI Output, is not indicative of future performance.

11.6 To the maximum extent permitted by law, we are not liable for any loss arising from your reliance on AI Output.

12. Intellectual property

12.1 Our IP. The Service, including its software, design, copy, brand assets (including the "noem" wordmark), prompts, frameworks, dashboards, and underlying intellectual property, is owned by or licensed to Sitekik Marketers. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your active Plan period.

12.2 Your data. You retain all rights in your User Data. You grant us a non-exclusive, worldwide, royalty-free licence to process your User Data solely as necessary to deliver the Service, in accordance with our Privacy Policy.

12.3 AI Output ownership. Subject to your continued compliance and payment, you own the AI Output specifically generated for your Account. You may use it for internal business purposes and (under the Studio Plan) in deliverables to your own clients. You may not resell or relicense the AI Output as a standalone product.

12.4 Feedback. Any feedback you provide may be used by us without restriction or compensation.

12.5 Aggregated and anonymised data. We may use aggregated, anonymised, de-identified data derived from User Data to improve the Service and build benchmarks.

13. Confidentiality

Each party agrees to keep the other's confidential information confidential and to use it only for the purposes of these Terms. This obligation survives termination for two (2) years.

14. Disclaimers

14.1 "As is" and "as available". The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability.

14.2 No guarantee of results. We do not warrant the Service will be free from errors, identify all inefficiencies, improve your ROAS/CAC, be compatible with any specific configuration, or always be available in your jurisdiction.

14.3 Third-party dependencies. The Service depends on Meta APIs, Cashfree, WhatsApp delivery providers, large language model providers, and hosting providers. We are not liable for third-party issues except attributable to our gross negligence or wilful misconduct.

14.4 No professional advice. Nothing in the Service constitutes financial, legal, tax, accounting, or other regulated advice.

15. Limitation of liability

15.1 To the maximum extent permitted by applicable law, in no event shall Sitekik Marketers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages; loss of profits, revenue, business, goodwill, or anticipated savings; loss of or corruption of data; or costs of substitute services.

15.2 Our total aggregate liability shall not exceed the greater of (a) the amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim, or (b) INR 5,000.

15.3 Nothing in these Terms excludes liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded under applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Sitekik Marketers from and against any claim, demand, loss, damage, cost, or expense arising out of: your breach of these Terms; your User Data and authorisation to share it; your violation of any law or third-party right (including Meta's policies); your use of AI Output; and any business decision you make based on the Service.

17. Term

17.1 These Terms commence on the date you first access or use the Service and continue until terminated.

17.2 Your active Plan continues for the duration set out in Section 7, after which it expires. Expiry of a Plan does not, by itself, terminate these Terms.

18. Suspension and termination

18.1 We may suspend or terminate your Account and Plan, without refund, if you materially breach these Terms or the Privacy Policy; we have reasonable grounds to believe your activity is fraudulent, abusive, or harmful; required by law, court order, or Meta; a chargeback or payment dispute has been initiated and not promptly resolved; or you remain inactive for more than 12 months after Plan expiry.

18.2 You may terminate at any time by deleting your Account in accordance with the Data Deletion Policy or by emailing shik@sitekik.co.in.

18.3 Upon termination, your right to access the Service ends; any unused portion of your prepaid Plan is forfeit (except as provided in Section 9); and Sections that by their nature should survive (including 11, 12, 14, 15, 16, 19, 22, 23) will survive.

19. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, fire, flood, earthquake, pandemic, government action, internet or telecommunications failures, denial-of-service attacks, or third-party outages.

20. Communications

20.1 By creating an Account, you consent to receive transactional and service-related communications via WhatsApp, SMS, and email. You may not opt out while your Account is active.

20.2 Marketing communications are sent only with your explicit opt-in.

20.3 Notices to us must be sent to shik@sitekik.co.in.

21. Modifications

21.1 We may modify these Terms at any time.

21.2 For material changes, we will provide at least 7 days' notice via email, WhatsApp, or in-product banner.

21.3 Continued use after the effective date constitutes acceptance.

22. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of India.

23. Dispute resolution

23.1 Good-faith negotiation. The parties shall attempt to resolve any dispute in good faith for at least 30 days from written notice.

23.2 Arbitration. If unresolved, disputes shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Sitekik Marketers, acting reasonably. Seat and venue: Noida, Uttar Pradesh, India. Language: English.

23.3 Jurisdiction. Subject to 23.2, the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh shall have exclusive jurisdiction.

23.4 Nothing prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

24. Assignment

You may not assign your rights without our prior written consent. We may assign to an affiliate or successor upon notice.

25. Severability

If any provision is invalid, the remaining provisions remain in full force and effect.

26. No waiver

A failure or delay to enforce any right is not a waiver. Any waiver must be in writing.

27. Relationship of the parties

Nothing creates a partnership, joint venture, agency, employment, or fiduciary relationship.

28. Entire agreement

These Terms, together with the Privacy Policy and the Data Deletion Policy, constitute the entire agreement between you and Sitekik Marketers in relation to the Service.
